These Terms of Service ("Terms") govern your use of the ProductMaster website and services provided by ProductMaster S.L. ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

By accessing or using our website, contacting us for services, or entering into a service agreement with ProductMaster, you acknowledge that you have read, understood, and agree to be bound by these Terms. ProductMaster provides software development services including but not limited to:

User Obligations

When using our services, you agree to:

  • Provide accurate and complete information when requesting services or communicating with us
  • Cooperate with our team and provide necessary materials, access, and feedback in a timely manner
  • Respect our intellectual property rights and those of third parties
  • Use our services only for lawful purposes and in accordance with applicable laws
  • Not attempt to reverse engineer, decompile, or otherwise extract source code from our proprietary software
  • Maintain confidentiality of any proprietary information shared during the course of our business relationship
  • Pay all fees and charges according to the agreed terms and schedule

Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of issue. Late payments may incur interest charges as permitted by law. We reserve the right to suspend services for overdue accounts. All prices are quoted in Euros and exclude applicable taxes unless specifically stated otherwise.

Intellectual Property

All intellectual property rights in our website, proprietary software, methodologies, and documentation remain our property. Custom software developed specifically for clients will be owned by the client upon full payment, unless otherwise agreed in writing. We retain the right to use general knowledge, skills, and experience gained during project delivery. Third-party software and components remain subject to their respective licence terms.

Confidentiality

We maintain strict confidentiality regarding client information and project details. Both parties agree to protect confidential information disclosed during the course of our business relationship. This obligation survives termination of our agreement and continues indefinitely unless the information becomes publicly available through no fault of the receiving party.

Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. However, we do not guarantee that our services will meet all your requirements or be error-free. To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

Limitation of Liability

Our total liability for any claims arising from our services shall not exceed the total amount paid by you to ProductMaster in the 12 months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. This limitation applies regardless of the legal theory on which the claim is based.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, labour disputes, government actions, or technical failures. We will make reasonable efforts to notify you of such circumstances and resume performance as soon as practicable.

Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). By using our services, you consent to such processing and warrant that any personal data you provide to us has been obtained lawfully and with appropriate consents.

Termination

Either party may terminate ongoing services with reasonable notice as specified in the relevant service agreement. We reserve the right to terminate services immediately if you breach these Terms or fail to pay outstanding fees. Upon termination, you remain liable for all fees accrued up to the termination date, and both parties must return or destroy confidential information as requested.

Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a new effective date. Continued use of our services after such modifications constitutes acceptance of the updated Terms. For ongoing projects, modifications will apply to new work commenced after the effective date unless otherwise agreed.

Governing Law

These Terms are governed by the laws of Spain. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Palma de Mallorca, Spain. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Dispute Resolution

We encourage resolution of disputes through direct communication. If a dispute cannot be resolved amicably, it may be submitted to mediation before pursuing formal legal proceedings. For consumer contracts, you may also have the right to use alternative dispute resolution procedures as provided by Spanish and EU consumer protection laws.
